2 Services

We provide SEO and digital marketing services as agreed between us and the client prior to commencement of work. The specific scope, deliverables and timelines will be outlined in a separate proposal or agreement provided to you before work begins.

We reserve the right to modify or discontinue any service at any time with reasonable notice.

3 Engaging Our Services

By accepting a proposal, signing an agreement, or making a payment to Tephra Digital, you confirm that you have read, understood and agree to these Terms and Conditions.

4 Payment Terms

  • Invoices are issued in accordance with the payment schedule agreed in your proposal or service agreement.
  • Payment is due within 14 days of the invoice date unless otherwise agreed in writing.
  • We reserve the right to suspend services if payment is not received by the due date.
  • All fees are quoted in GBP (£) and are exclusive of VAT where applicable.

5 Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate and up-to-date information when requested.
  • Grant us necessary access to your website, analytics platforms, and any other tools required to perform the agreed services.
  • Respond to reasonable requests for feedback, approvals or information in a timely manner.
  • Ensure that any content or materials you provide to us do not infringe the intellectual property rights of any third party.

6 Results and Performance

SEO and digital marketing results are not guaranteed. Search engine algorithms are outside our control and rankings can fluctuate. We will always work diligently and in good faith to achieve the best possible outcomes for your business, but we cannot guarantee specific rankings, traffic levels or revenue figures.

7 Intellectual Property

  • Any work, reports, strategies or content created by Tephra Digital during the course of providing services remains our intellectual property until full payment has been received.
  • Upon receipt of full payment, ownership of any deliverables specifically created for you will transfer to you, unless otherwise agreed in writing.
  • We retain the right to reference your business as a client and use the work completed for portfolio and promotional purposes unless you request otherwise in writing.

8 Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the working relationship and not to disclose it to any third party without prior written consent, except where required by law.

9 Limitation of Liability

To the fullest extent permitted by law:

  • We will not be liable for any indirect, incidental or consequential loss arising from the use of our services.
  • Our total liability to you in connection with any services shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
  • We are not responsible for any changes made to your website by you or third parties that negatively impact SEO performance.

10 Termination

Either party may terminate the agreement by providing 30 days’ written notice unless a different notice period is specified in your service agreement. Upon termination:

  • You remain liable for any fees due for work completed up to the termination date.
  • We will provide reasonable assistance to ensure a smooth handover.

11 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12 Changes to These Terms

We may update these Terms and Conditions from time to time. Any changes will be posted on this page with an updated date. Continued use of our services following any changes constitutes your acceptance of the new terms.
